1. Acceptance of terms

By downloading, installing, or using Pencel ("the Application"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Application. Pencel is provided by Pencel.ai ("we", "us", "our").

2. Description of service

Pencel is a desktop application that enables you to build and run AI-powered workflows using agents, playbooks, and third-party integrations. The Application runs on your local machine and connects to AI providers and third-party services that you configure. You may use the Application with your own AI provider API keys, or with a Pencel subscription or credit purchase that includes Pencel-managed AI. When you use Pencel-managed AI, your requests are relayed through Pencel's proxy to the applicable AI provider.

3. Your responsibilities

  • You may either provide your own API keys for AI providers (Anthropic, Google, OpenAI, etc.) or use a Pencel subscription or credit purchase that includes Pencel-managed AI
  • If you use your own API keys, you are responsible for any costs charged by those providers. If you use Pencel-managed AI, that usage is billed by Pencel under your subscription or credit purchase
  • You must comply with the terms of service of any AI provider or third-party service you connect
  • You are responsible for the content you process through the Application and for ensuring it complies with applicable laws
  • You must not use the Application for any unlawful purpose

4. Third-party services

The Application allows you to connect to third-party services including Google Workspace, GitHub, Slack, Intuit QuickBooks Online, and others. Your use of these services is governed by their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or content of third-party services.

5. Intellectual property

The Application, its code, design, and documentation are the intellectual property of Pencel.ai. You are granted a limited, non-exclusive, non-transferable license to use the Application for personal or business purposes. You may not reverse-engineer, decompile, or distribute the Application except as permitted by applicable law.

Content you create, process, or store using the Application remains yours. We claim no ownership over your data, artifacts, or outputs.

6. AI-generated content

The Application facilitates the generation of content through AI providers. AI-generated content may be inaccurate, incomplete, or inappropriate. You are solely responsible for reviewing, verifying, and using any AI-generated content. We make no warranties about the accuracy or suitability of AI outputs.

7. Data and privacy

Your use of the Application is also governed by our Privacy Policy, which describes how we handle your information. By using the Application, you consent to the practices described in the Privacy Policy.

8. Disclaimer of warranties

The Application is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Application will be uninterrupted, error-free, or free of harmful components. To the fullest extent permitted by law, we disclaim all warranties including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of liability

To the maximum extent permitted by law, Pencel.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunities arising from your use of the Application. Our total liability for any claim arising from these Terms shall not exceed the amount you paid us in the twelve months preceding the claim.

10. Modifications

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the date at the top of this page. Continued use of the Application after changes constitutes acceptance of the modified Terms.

11. Termination

You may stop using the Application at any time by uninstalling it. We may terminate or suspend your access to any account-based features if you violate these Terms. Upon termination, your local data remains on your machine.

12. Governing law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
